The Corporate Governance system adopted by Intred includes principles, rules, and procedures inspired by the highest standards of transparency and fairness in management and it is oriented to the creation of value for shareholders.
Intred adopted a traditional Governance system. The AGM appoints both the Board of directors and the Board of auditors.
The Board of directors in office was appointed by the AGM held on 13 June 2018 for 3 years. Thus, it will expire upon the approval of the financial statements as at 31 December 2020.

Daniele Peli – Born in Lodrino (BS), on 23 October 1959, he got a diploma as Industrial Expert in 1979. In 1980/81 he served in the Carabinieri forces. From 1979 to 1984 he worked as craftsman in the firearms sector. In 1984 he joined the SOL S.p.A. group, a listed company, as technical sales engineer in Brescia subsidiary. In 1988 he was transferred to Monza to coordinate the development of the Home Care sector in the subsidiaries of the SOL group located in Northern Italy. In 1990 he joined the group’s international department, to start and develop the Home Care sector in major European countries (Belgium, Netherlands, Luxembourg, Germany, France, Austria, Croatia and Slovenia). In 1996 he left the SOL group to found this Company with two other founders.
Marisa Prati – Born in Brescia, on 21 October 1962. She worked for Stilopress S.r.l. until 1991. From 1993 to 1995 she worked in the sales department of Colmark S.p.A. (superstores and supermarkets). Since 2000 she has been Director of Intred with several powers. Over the first years she supported the company in the sales field, while starting from 2010 she mainly directed the development of the EIR brand, coordinating marketing campaigns and supervising multimedia advertising campaigns, collaborating with companies and advisors operating in the field of advertisement and communication.
Adalberto Salvi – Born in Brescia (BS), on 11 December 1963, he got a diploma as accountant in 1982. He provides corporate, financial, accounting, and fiscal advice. He is professionally registered as employing consultant and external auditor. For over 25 years he has been Administrative director, first in the advisory committee and then as manager, for a family from Brescia with a national commercial and industrial business. Since 1994 he has covered positions in associated companies. He was Managing director of Colmark S.p.A. (superstores and supermarkets), then absorbed by La Rinascente S.p.A., legal representative of Sangemini S.p.A., CEO of European Fashion Center S.r.l., and promoter for Franciacorta Outlet Village. From November 2007 to 5 April 2018 he was President of the Board of auditors of Intred S.p.A.. Since 13 June 2018 he has been a member of the Board of directors of the Company.
Alessandro Triboldi – Born in Brescia on 18 November 1962. He graduated in Economics and Trade at the University of Brescia, specializing in corporate organization. He worked for 28 in banks – first at Credito Italiano and then at Banco di Brescia (UBI group) – and for 10 years was a manager. From 2010 to 2014 he was City Manager of Brescia municipality, coordinating the works related to the construction and activation of the city metro. From 2014 to June 2018 he was General Manager of Autostrade Centro Padane Spa (A21 Piacenza-Cremona-Brescia), managing the transfer of the concession to Gavio group. He is vice president of Brevivet Spa, tour operator operating in the field of religious pilgrimages, and since 1 October 2018 he has been the general manger of Fondazione Poliambulanza, a non-profit hospital in a partnership with the National Health System and the Lombardia region.
Renzo Torchiani – Born in Brescia (BS) on 6 February 1974. In 1998 he graduated in Law at the University of Parma, in Economics, and in 2011 he got an MBA in Corporate Finance at the Bocconi University in Milan. In 2008 he founded First Capital S.p.A., a shareholding listed in the AIM market of Borsa Italiana, and he is director and Vice President of its Board of directors. With a 20 year experience as advisor, he had major positions in leading companies in financial and bank sectors. Since 2018, he has been member of the board of directors of Intred S.p.A. as representative of Value First SICAF S.p.A. (controlled by First Capital S.p.A.).
Fabio Massimo Erri – Born in Treviglio (BG) on June 13, 1976, he has twenty years of experience in the telecommunications sector. After his studies he is employed in the technical direction of Interactive S.r.l., subsequently of Lombardiacom S.p.A. and Elitel S.p.A. In 2003 he was Technical Director and then CEO of Interactive Network S.r.l. From 2012 he became CEO of Qcom S.p.A, a company in which he gained a long experience in M&A operations: among others Mediacom (2004), Orobiacom (2007), Sonic (2009), Telefonika (2014) and Coriweb (2015); in April 2020 he joined the Issuer’s board.
Giulia Peli –Born in Brescia (BS) on June 28, 1991, she graduated in Economics and Business Management in 2015 at the University of Brescia. She joined Intred in 2016 as Marketing Manager. She deals with branding, social media marketing, communication and corporate strategy, digital marketing, relations management with corporate partners, sponsorships, organization of events, management of Intred and Eir websites and related social pages. During these years she attended courses and Masters (at LUISS in Rome and BASE Milan) in order to be able to deepen the Social Media and Digital Marketing issues.
The board of auditors include 3 statutory auditors and 2 substitute auditors, who stay in office for 3 years and can be re-appointed. The current board is going to expire upon the approval of the financial statements as at 31/12/2021.

Vittorio Giongo – Born in Verona (VR), on 9 August 1975. He graduated in Economics and Business Laws at the Bocconi University. He is a certified public accountant registered as auditor. From 2001 to 2011 he worked at major associated law offices in Brescia. Afterwards, he supervised for 3 years and a half the accounting processing department and worked as a tax, budgetary, and extraordinary operations advisor for a service-providing company. Since 2015 he owns a professional firm pertaining to accounting, drafting of financial statements, and tax-related and corporate advice. After playing the role of statutory auditor in several companies, including Intred S.p.A., since 5 April 2018 he is President of the company’s board of auditors.
Salvatore Capatori – Born in Brescia (BS), on 30 July 1963. In 1991 he graduated in Economics and Business at the University of Brescia. He is a certified public accountant and expert registered as auditor. From 1996 to 2005 he worked as associate in the Zanoletti Uberti firm in Brescia, with special reference to corporate and tax advice. He has been president of the board of auditors and auditor for several production and business companies.
Giovanbattista Lechi di Bagnolo – Born in Brescia (BS), on 18 August 1965. He graduated in Economics and Business at the University of Brescia. He is a certified public accountant registered as auditor. After some collaboration with two accounting firms and two collaborations with companies related to law, administration, and financial positions, in 2004 he established the associated law firm Lechi – Pasolini. He works as tax, accounting, and corporate advisor. He has been an auditor for several companies.
Luca Locatelli – Born in Brescia (BS), on 28 July 1972. In 1996 he graduated in Economics and Business at the University of Brescia. He is a certified public accountant registered as expert accountant in Brescia and auditor. Since 1996 he has been working at Zanoletti Uberti & Associates in Brescia, which includes eight professionals and almost 15 collaborators, apprentices, and employees. He is currently CEO of Arnia S.r.l., a service-providing company connected to the firm.
Fabrizio Giovanni Zanolini – Born in Sarezzo (BS), on 23 January 1969. In 1995 he graduated in Economics and Business at the University of Brescia. Since 1997 he has been a certified public accountant registered as expert accountant in Brescia and in the same year he started working as accountant at Zanolini firm first, and then at Delle Donne firm. In 2002 he started his independent activity. Starting from 2006 he has worked as statutory auditor, even performing revision tasks, in industrial and business companies.
